Nigeria User Terms and Conditions

These terms and conditions govern your use of the ED2E Platform. Please read them before you register to use the ED2E Platform.

  1. Terms and Conditions for use of ED2E Platform:

1.1      Acceptance of Terms and Conditions: These terms and conditions are the terms on which access to the ED2E Platform is provided. By registering with ED2E, you are deemed to accept these terms and conditions. If you do not accept these terms and conditions, you must not use the ED2E Platform.

1.2      Variation to Terms and Conditions: These terms and conditions may be varied in whole or in part by ED2E from time to time by posting a notice of change on ED2E’s website.  The variation to the terms and conditions will take effect 10 Business Days after posting on ED2E’s website.  By continuing to use the ED2E Platform after the 10 Business Day notice period, you agree to be bound by the varied terms and conditions as published.

1.3      Assignment:  ED2E can assign its rights and obligations under these terms and conditions to any person at any time subject to that person assuming ED2E’s obligations under these terms and conditions.  Notification of such assignment will be made by posting a notice on ED2E’s website.  The assignment will take effect 10 Business Days after posting on ED2E’s website.  By continuing to use the ED2E Platform after the 10 Business Day notice period, you agree to be bound by the assignment.

1.4      Becoming a User:  Becoming an ED2E User requires you to purchase the User Package, either through the Ordinary, Bronze, Silver or Gold Package. It forms a legally binding contract which is enforceable against you.

1.5      Governing Law: These terms and conditions are governed by Nigeria law.  The Courts of Nigeria shall have non-exclusive jurisdiction in relation to any proceedings regarding these terms and conditions.

1.6 Variation to Terms and Conditions: ED2E reserves the right to edit, update or amend its Terms and Conditions without prior notice. It is expected that the User has the initiative to update themselves in the policies periodically. Continued use of the platform post-amendment would mean that you agree to these policies, and any information collected prior to the time any changes were posted would still abide by the rules and laws that applied at the time such information was collected.

  1. Service provided by ED2E

2.1      The Service: ED2E provides a facility for Users to buy EDPoints and use the EDPoints to pay for goods and/or services purchased in Nigeria from ED2E Registered Merchants. 

2.2      ED2E is not party to User / Merchant contract:  ED2E does not take any part in the contract for sale and purchase of goods or services between you and ED2E Registered Merchants.  The ED2E merely provides a platform to facilitate payment for the goods or services purchased.  ED2E accepts no responsibility or liability for any issues which may arise between you and an ED2E Registered Merchant.

2.3      No warranty given for goods and services purchased:  ED2E gives no undertakings, representations, or warranties in relation to goods or services purchased through the ED2E Platform.  In particular, ED2E gives no warranty regarding the quality or fitness for purpose of any goods or services purchased from ED2E Registered Merchants. 

2.4      Dispute about goods and services purchased:  If you have a dispute with an ED2E Registered Merchant regarding the goods or services purchased, you must resolve the dispute directly with the ED2E Registered Merchant.  Responsibility for any refund or default rests with the ED2E Registered Merchant.  Any reimbursement for goods or services must be arranged between you and the ED2E Registered Merchant directly. 

  1. Terms of EDPoints app

3.1      Purchases from ED2E Registered Merchants only:  You can only use EDPoints to purchase goods and/or services from ED2E Registered Merchants.  EDPoints cannot be used for any other purpose. 

3.2      EDPoints cannot be refunded, transferred or redeemed for cash:  EDPoints are non-refundable, non-transferable and may not be redeemed for cash.  You cannot withdraw the balance of an EDPoints or transfer the EDPoints value to a different EDPoints (whether that different EDPoints is owned by you or another User). 

3.3      EDPoints does not earn interest: No interest is payable on the value stored in the EDPoints. 

3.4      ED2E’s right to cancel EDPoints programme:  ED2E reserves the right to cancel the EDPoints programme at any time.  If ED2E cancels the EDPoints programme, any balance on your EDPoints will be paid to you. 

  1. SETTLEMENT

4.1 Cut-off Dates and Times for Bonus Payouts

4.1.1 ED2E Technology Limited will process the cut-off for EDPOINTS Bonus Payout on fixed days.

4.1.2 Refer a Friend and Retail Profit Payout.

4.1.2.1For any referral made between Friday and Monday will be subject to the cut-off time of TUESDAY, 12:00 M.N. local time. The cash pay-out shall be credited to the registered partner merchant’s bank account on the FRIDAY of the same week or the next business day if Friday is a holiday.

4.1.2.2 For any referral made between Tuesday to Thursday will be subject to the cut-off time of FRIDAY 12:00 M.N. local time. The cash pay-out shall be credited to the registered partner merchant’s bank account on the Tuesday of the following week or the next business day if Tuesday is a holiday.

4.1.3 Only Members with complete details indicated in the User Application Form will be processed for settlement.

4.1.4 Preferred Bank of the company for all Merchants is ACCESS BANK PLC.

4.1.5 The company mode of settlement/ payment is Bank Transfer only (done by Online Banking or OTC Deposit).

4.1.6 The cash pay-out may incur certain fees if the registered bank account is other than the preferred bank by ED2E Technology Limited.

4.1.7 Minimum payment amounts: NGN 1000. If the balance is less, ED2E will deposit the amount in EDPoints.

  1. User obligations

5.1      Your obligations

5.1.1   Keep your ED2E Platform login information, including your User name and password, secret and secure;

5.1.2   Provide, at the request of ED2E, true and correct copies of all documentation evidencing the trade with an ED2E Registered Merchant (e.g. booking information, invoices, statements).  If you are do not or are unable to provide such documentation, you authorize the applicable ED2E Registered Merchant to provide the documentation to ED2E on your behalf. 

5.1.3   Not do any act which in the reasonable opinion of ED2E damages the reputation of ED2E, or is likely to damage its reputation, its system or bring ED2E or its website into disrepute; and

5.1.4   Comply with all applicable laws and regulations.

5.1.5  Members are not allowed to change their uplines once the membership form has been submitted. All signing up members should take extra care in ensuring all information provided are accurate and correct before submitting the form.

5.1.6 Premium members are encouraged to activate their membership upon receiving their membership package. Failure to activate the premium membership may result to suspension or non-entitlement of corresponding bonuses and benefits.

  1. ED2E’s rights and obligations:

6.1  ED2E’s obligations:  ED2E agrees that it will process transactions in accordance with clause 5.1 above, provided that: 

6.1.1   There is sufficient credit in your EDPoints to make either a full or part payment of a purchase from a ED2E Registered Merchant.

6.1.2   ED2E has received all necessary documentation from you (or the ED2E Registered Merchant on your behalf) evidencing the trade with the ED2E Registered Merchant.

6.1.3   The transaction verification process has been completed and ED2E is satisfied (in its sole discretion) that the trade is a genuine transaction (see clause 5.4 below).

6.2      Verification of trade

6.2.1   If ED2E is not satisfied (in its sole discretion) that sufficient documentation has been provided to ED2E for it to verify a transaction, ED2E will notify you.  You will have three Business Days to provide all required trading documents and other information ED2E deems necessary for it to verify and process your payment to an ED2E Registered Merchant. 

6.2.2   ED2E may, in its sole discretion and in special circumstances, extend the three Business Day period noted in clause 6.2.1 above. 

6.2.3   If you do not provide the required documentation within the three Business Day period (or any extended period approved by ED2E) and/or ED2E is unable to verify your transaction to its satisfaction, ED2E will notify you of the rejection of trade. 

6.2.4   Subject to clause 6.2.3 below, any credit in EDPoints as a result of a rejected trade will remain available for you to use in another transaction with an ED2E Registered Merchant (provided that transaction is itself a verified transaction) before the EDPoints expires in accordance with clause 3 above. 

6.3      Suspension or cancellation of transactions or cancellation of EDPoints app

6.3.1   ED2E can in its sole discretion suspend or cancel a transaction through the ED2E Platform where ED2E has any reason to suspect the transaction involves fraud, money laundering or financing of terrorism. 

6.3.2   ED2E reserves the right to cancel the credit in EDPoints where ED2E has any reason to suspect the transaction involves fraud, money laundering or financing of terrorism.  Any credit in EDPoints will be forfeit. 

6.4      Preventing use of Platform by User:  ED2E reserves the right to suspend or terminate the membership of a User or any other person from using the ED2E Platform at its sole discretion.

  1. Change of Ownership (CHOWN), Membership Upgrade or Downgrade:

7.1 Membership change of ownership shall be subject to approval by ED2E which reserves the right to charge an administrative fee for processing such changes.

7.2  You may upgrade your membership at any time. Administrative fees are applicable.

7.3 Members are not allowed to downgrade their package. You may, however, opt to sell your current membership package and all its remaining benefits or rights to another individual/proprietor/company. Terms and Conditions apply as per the Indemnity Agreement and CHOWN form.

  1. Personal information

8.1      Accurate information: You warrant that you will provide complete, accurate and current personal information when registering with the ED2E Platform.  ED2E may decide in its sole discretion whether or not to accept your registration.

8.2      Requests for additional information: ED2E may make enquiries about any personal information that you provide to ED2E in order to check the accuracy of that information.  You agree to provide all reasonable information (including any documentation) requested by ED2E in order to assist ED2E to meet its obligations under the Anti-Money Laundering and Countering Financing of Terrorism Act and any other relevant Acts or Regulations. 

8.3      Updating your information:

8.3.1   You must maintain and update your personal information held by us to ensure it is kept current at all times. We may call or email you to verify these details.

8.3.2   We provide you with ways in which you can change, update or add to your personal data, however the responsibility for updating the information rests solely with you.

8.4      Privacy: In accordance with the provisions of the Data Privacy Act of 2012, ED2E may collect personal information about you (including your User registration details and your transaction activities through your use of the ED2E Platform).   Full details of ED2E’s Privacy Policy, including how ED2E may use your personal information, can be found on the ED2E website ( www.ed2e.com). 

8.5      Security of Your Information: You are responsible for keeping your login information, including your User name and password, secret and secure. Without limiting the foregoing, you agree to not permit any other person to use your User login information and not to disclose, or provide to any other person your User name, password or any other information in connection with your User account that may allow them to gain access to your account.

  1. Intellectual property rights

9.1      Ownership of intellectual property rights: ED2E or its assigns, own all proprietary and intellectual property rights of the ED2E Platform and in the ED2E website (including text, graphics, logos, icons) and the software and other material underlying and forming part of the services or the website.

9.2      Use of intellectual property:  You may not without ED2E’s prior written permission, in any form or by any means:

9.2.1   adapt, reproduce, copy, store, distribute, print, display, perform, publish or create derivative works from any part of the ED2E Platform or website; or

9.2.2   Commercialize, copy, or on-sell any information, or items obtained from any part of the ED2E Platform or website.

  1. No Liability

10.1      Fraudulent activity:  While ED2E has used its best endeavours to ensure that appropriate systems are in place to reduce the risk of fraudulent activity, ED2E is not responsible for protecting ED2E Users or ED2E Registered Merchants from forms of wrongful or fraudulent activity.  

10.2      Unauthorised access:  Provided that ED2E has taken reasonable steps to protect its systems, ED2E does not accept any liability for any damage, loss, cost, expense or harm arising directly or indirectly as a result of any computer virus or unauthorised access of the ED2E system.

10.3      Inability to use ED2E Platform:  ED2E accepts no responsibility for any inability to use the service that arises from an issue between you and your network or communication provider.

10.4      Breach by User: Without limiting any other rights and remedies available to ED2E, ED2E may limit your use of the ED2E Platform, terminate your User account, or refuse to provide ED2E services to you if in ED2E’s opinion you breach these terms and conditions.

10.5      Liability: Notwithstanding any other terms of this agreement, you agree that, to the maximum extent permitted by law, any and all liability and responsibility of ED2E to you or any other person under or in connection with these terms and conditions, the ED2E Platform, the ED2E website, any ED2E Registered Merchant act or omission, or your use of or inability to use the ED2E Platform, is excluded regardless of whether such liability arises in contract, tort (including negligence), equity, breach of statutory duty or otherwise. ED2E’s liability and responsibility is excluded in respect of any and all loss or damage, whether direct or indirect, including, without limitation, loss of profits, loss of data, loss of business or anticipated savings, general and special damages, and consequential and incidental loss.

10.6      Indemnity: By using this service you agree to release and indemnify ED2E and to keep ED2E indemnified from and against all actions, claims, costs (including legal costs and expenses on a solicitor and client basis), losses, proceedings, damages, liabilities, or demands suffered or incurred by ED2E to any person arising out of or in connection with your failure to comply with these terms and conditions or failure by you to complete a transaction with ED2E Registered Merchant or out of or in connection with your use of the ED2E Platform.

10.7      Force Majeure:  ED2E has no liability for any lack of performance, or for any failure of ED2E to comply with these terms and conditions where the same arises from any cause reasonably beyond ED2E’s control.

10.8      Consumer Laws of the Nigeria: Nothing in these terms and conditions will limit the effect of the Consumer Laws of the Nigeria, except to the extent permitted by the law.

10.9      No Waiver: If ED2E does not exercise or enforce any right available to it under these terms and conditions, it does not constitute a waiver of those rights. 

  1. Interpretation

11.1      Interpretation: In these terms and conditions, the following expressions have the meanings set out:

11.1.1   Business Day means any day between and including Monday to Friday which is not a public holiday in Nigeria or festival period in Nigeria.  ED2E will post on its website a notice confirming which days ED2E will not be trading or processing payments. 

11.1.2   EDPoints are used as an instrument of exchange which have actual monetary value as it is used for all transactions including the purchase of goods and/or services from ED2E Registered Merchants. 

11.1.3   ED2E means ED2E Technology Limited.

11.1.4   ED2E Registered Merchant means a retailer, business or service provider who accepts payments for its goods and/or services through the ED2E Platform and is registered as a merchant with ED2E.

11.1.5   Merchant means a person who registers as an ED2E Registered Merchant.

11.1.6   User means a person who registers to use the ED2E Platform.

11.1.7   Website means www.ed2e.com

11.1.8   You or Your is a reference to Users.
